Proposal from larger shareholders ahead of the Extraordinary General Meeting in NAXS AB (publ)
Buntel AB and Lärkberget AB (together referred to as the “Shareholders”), who together control almost 37 per cent of the shares and votes in NAXS AB (publ) (the “Company”), submits the following proposal to the Extraordinary General Meeting on November 12, 2025.
Item 6 – Determination of the number of board members
The Shareholders proposes that the board of directors shall consist of four ordinary members without deputies.
Item 7 – Determination of remuneration for the board
The Shareholders proposes that the board members shall receive a total remuneration of SEK 1,000,000, distributed as follows:
- The chairman of the board shall receive remuneration of SEK 400,000.
- Each of the other board members shall receive remuneration of SEK 200,000 each.
Item 8 – Election of board members and chairman of the board
The Shareholders proposes re-election of Børge Johansen and new election of Oliver Molse, Niclas Winberg and Thor Åhlgren as board members for the period until the end of the next Annual General Meeting. The Shareholders further proposes new election of Oliver Molse as chairman of the board.

Oliver Molse (born in 1992)
Oliver Molse is the founder and Chief Executive Officer of Molcap Invest AB, a Nordic investment company focused on public and private market investments.
Oliver has extensive experience within investments, capital markets, and corporate finance, with a background in equity research and active involvement in several entrepreneurial and investment ventures. Oliver’s focus areas include long-term ownership, value creation, and capital allocation across both listed and unlisted assets.
Oliver currently serves on the boards of Molcap Invest AB as well as a number of holding and investment entities within and outside the Molcap structure. Oliver studied Economics and Finance at Lund University.
Shareholding, including related parties: 3 105 714 through Molcap Invest AB, 1 960 000 privately.
Oliver is regarded as independent in relation to the Company and its management, but not independent in relation to the Company’s major shareholders.
Niclas Winberg (born in 1988)
Niclas Winberg is the founder of Dura, a group of companies dedicated to upgrading and maintaining the ageing real estate infrastructure through specialist expertise in roofing, ventilation, and related building services. Founded in 2022, Dura has quickly grown to generate around SEK 800 million in annual revenues, driven by a buy-and-build strategy and a strong operational backbone.
Before founding Dura, Niclas spent over a decade in M&A and private equity, working with firms such as Keystone Advisers and SEB Private Equity. At SEB, Niclas invested across the private equity ecosystem — including primary, secondary, co-investment and majority investments — gaining deep insight into value creation across different ownership models. Niclas’s earlier career includes roles at BNP Paribas and Investor, as well as involvement in entrepreneurial ventures such as Tugg, Tawi, and Stockholm Tennis. Niclas holds a bachelor’s degree in economics from Lund University.

Thor Åhlgren (born in 1997)
Thor Åhlgren works with investments at Molcap Invest AB. Thor serves on the boards of Mysafety Group AB (listed on Nasdaq Stockholm) and Auriant Mining AB (previously listed on Nasdaq First North until February 2025).
Thor holds an M.Sc. in Applied Mathematics and a B.Sc. in Mechanical Engineering from KTH Royal Institute of Technology. Thor’s earlier experience includes roles as a stockbroker at Avanza Bank and in corporate finance at Naventus Corporate Finance.

Thor Åhlgren is regarded as independent in relation to the Company and its management, but not independent in relation to the Company’s major shareholders.
